1. Provider and scope
These terms apply to individual offers by SkriptAtelier UG (haftungsbeschränkt), Am Mausepfad 34, 34474 Diemelstadt, Germany (“SkriptAtelier”), to entrepreneurs within the meaning of section 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law. They do not apply to consumers. If tickets are instead bought directly through Paddle, that purchase is governed by the Paddle terms effectively included in each case and by the TaleAlley terms that apply to the use of the app. Deviating terms of the customer apply only if SkriptAtelier expressly agrees to their inclusion.
2. Conclusion of contract and order of precedence
The scope of services, price, project period, number of tickets or participants, validity and any individual developments result from the respective offer. A contract is concluded when the offer is accepted in text form or through an order confirmation agreed accordingly. In the event of contradictions, individual agreements take precedence, followed by service descriptions and finally these B2B terms. A deviation can be agreed in text form.
3. Services
TaleAlley is a digital platform for location-based stories, missions, puzzles and team experiences. Depending on the offer, SkriptAtelier may provide existing adventures and event codes, configure games or create customer-specific stories and content. Unless expressly agreed, personal on-site support, tour guiding, medical assistance, security guarding or traffic safety for public routes are not part of the scope of services. Public routes, mobile networks, GPS, maps and third-party facilities may change independently of SkriptAtelier. Official cooperations exist only where expressly indicated.
4. Number of participants, devices, event codes
The scope set out in the offer is the maximum number booked. Lower actual participation does not give rise to a claim to a proportionate refund unless expressly agreed. Event codes may be passed on to the people intended for the project, but may not be made public, resold commercially or used outside the agreed project. Unless otherwise stated in the offer, larger, individually procured code packages are valid for six months from provision. Event-related or date-related codes are valid for the agreed period. Statutory claims in the event of non-performance for which SkriptAtelier is responsible remain unaffected.
5. Technical requirements and safety
The customer arranges suitable devices, internet access and the required device functions in accordance with the requirements stated in the offer or in the store information. The customer informs its participants about the TaleAlley terms of use and safety information.
Actual traffic rules, closures and hazards take priority over digital instructions. Private or closed areas must not be entered. In unsuitable weather or dangerous circumstances, the game must be paused.
6. Minors and responsibility of the organiser
For minor participants, the age-related TaleAlley rules apply, including any necessary parental approvals and actual supervision by a suitable accompanying adult. The customer ensures that participants are informed accordingly, that the persons with parental responsibility have agreed to participation and to the necessary entrustment of supervision, and that the accompanying adults deployed take on the supervision task. A booking by a school, authority or company does not automatically replace an approval by persons with parental responsibility that is required in the specific case. Roles under data protection law and any special requirements under school or employment law must be agreed separately.
7. Changes, closures and force majeure
SkriptAtelier may update missions, clues, routes, locations and technically necessary processes for objective reasons, for example for safety, to fix errors or because of changed accessibility, provided that the agreed overall character is not significantly impaired. If locations cannot be reached, reasonable alternatives or skip functions may be provided. In exceptional circumstances beyond the parties' control, the parties agree on a reasonable postponement, extension or substitute service. Statutory rights remain unaffected.
8. Prices and payment
The prices stated in the individual offer apply. Unless stated otherwise, B2B prices are exclusive of statutory VAT. Unless otherwise agreed, the invoice must be paid within 30 days of receipt, but in any case before the agreed event date. In the event of late payment, the statutory provisions apply. Services or codes not yet activated may be withheld until payment only to a legally permissible and proportionate extent.
9. Cancellation and rebooking
After a binding order, no additional contractual right to cancel freely is granted. Statutory rights of withdrawal, termination, price reduction and damages remain unaffected. Changes to dates or scope require an individual agreement. Additional effort may be charged only after prior agreement. The voluntary 30-day cancellation rule for standard consumer tickets does not automatically apply to individually agreed B2B projects.
10. Duties to cooperate
The customer provides all necessary information, participant numbers, contact persons, materials and approvals in good time. The customer ensures that participants are informed about the organisation and that codes provided are used only to the agreed extent. Delays caused by a lack of necessary cooperation may affect agreed dates. Additional effort is charged only after separate agreement.
11. Rights to the platform and standard content
Software, user interface, story toolkit, general story mechanics, digital tools, templates, generic puzzle principles, audio and design components and know-how remain with SkriptAtelier or the respective rights holders. For the booked project, the customer receives a non-exclusive, non-transferable right to use the standard content expressly provided. Any further adoption, adaptation, commercial exploitation or public distribution requires separate permission.
12. Individual stories and content
Original intellectual property rights in customer-specific story, text and design elements remain with the respective rights holder. Insofar as corresponding rights of use can be granted, the customer receives an exclusive, non-transferable right to use the individual elements expressly created for it for the internal business purposes specified in the offer during the agreed project term. SkriptAtelier does not reuse the specific customer-specific plot and clearly customer-related elements for other customers. Generic methods, puzzle mechanics, software, technical components, templates and general know-how remain reusable. The scope of any use beyond the specific project can be regulated separately in the offer.
13. Materials provided by the customer
The customer warrants that it holds the rights of use and personality rights required for the project for any trademarks, names, texts, images and other materials it provides. The customer grants SkriptAtelier the rights required to carry out the order. If third-party claims arise from unlawful customer materials, the parties cooperate in clarifying them. The statutory standards of liability remain decisive. The customer's name, logo or project results are used for advertising as a reference only with prior approval.
14. Data protection and employees
Both parties comply with the applicable data protection regulations. Game data in the TaleAlley app is generally processed in accordance with the TaleAlley privacy notice. If the customer collects its own lists of participants or employees, it is generally independently responsible for this within the scope of its own purposes. If personal data is processed in an individual case exclusively on behalf of the customer, the parties review any required data processing agreement before work begins. Booking a company event does not automatically create a controller and processor relationship.
15. Confidentiality
Non-public technical, commercial and project-related information of the other party must be treated confidentially and used only for the agreed purpose. This obligation does not apply to information that is already publicly known, was lawfully obtained independently or must be disclosed by law. Statutory data protection and confidentiality obligations remain in place.
16. Support and defects
Regular support hours are Monday to Friday from 09:00 to 18:00, except on public holidays at SkriptAtelier's registered office. We aim to provide a qualified first response within 48 hours within these support hours. This is not a promise to fix errors completely within 48 hours. Significant technical faults should be reported as specifically as possible. As a remedy, SkriptAtelier may offer a fix, an update, an alternative mission or another reasonable solution. Mandatory statutory claims remain unaffected.
17. Liability
SkriptAtelier is liable without limitation for intent, gross negligence, damage resulting from injury to life, body or health, expressly assumed guarantees and mandatory statutory liability. In the event of a slightly negligent breach of essential contractual obligations, liability is limited to the damage typical of the contract and foreseeable when the contract was concluded. Otherwise, liability for slight negligence is excluded to the extent permitted by law. The statutory standards also remain decisive for accidents or restrictions caused by the actual surroundings.
18. Term and termination
The term and project period result from the individual offer. The right to extraordinary termination for good cause remains unaffected. Payment claims that have already arisen as well as rights to content and confidentiality and data protection obligations that continue to apply by law or contract remain in place.
19. Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods, insofar as it would apply at all. If the customer is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction is SkriptAtelier's registered office, to the extent permitted by law. Individual agreements take precedence. Should individual provisions be invalid, the remaining provisions remain effective in accordance with the statutory provisions. The contract language is German unless otherwise agreed in the offer.
